These Report Terms, Disclaimers, Liability Limitations, and Conditions of Use (“Report Terms”) govern all access to, receipt of, review of, reliance upon, download of, transmission of, sharing of, or use of any Seismocon-generated outputs, including reports, dashboards, alerts, notifications, telemetry outputs, structural monitoring data, analytics, risk indicators, model outputs, taxonomy assessments, summaries, visualizations, recommendations, automated interpretations, and related materials (collectively, the “Outputs”).
By accessing or using any Output, you expressly acknowledge and agree to these Report Terms.
1. INFORMATIONAL SOFTWARE ONLY — NOT PROFESSIONAL SERVICES
Seismocon is a software and technology provider. Unless expressly agreed in a separately executed written agreement signed by authorized officers of Seismocon, Seismocon does not provide:

No Output shall be interpreted as a substitute for licensed professional engineering evaluation, physical inspection, regulatory approval, emergency response judgment, or independent professional review.
2. ABSOLUTELY NO LIFE-SAFETY RELIANCE
Seismocon Outputs are not life-safety systems. Outputs must never be used as the sole or primary basis for:

Unless Seismocon separately performs contracted professional inspection services, Seismocon has no direct physical knowledge of:

Outputs are therefore inherently incomplete.
5. THIRD-PARTY DATA DISCLAIMER
Outputs may depend upon third-party data. Seismocon does not own, control, audit, warrant, or certify:

Any third-party failure may invalidate Outputs. Seismocon assumes no liability for third-party failures.
6. USER DATA DISCLAIMER
If user-submitted, enterprise-submitted, or partner-submitted data is:

incomplete

stale
-
misleading

manipulated

improperly entered
-
incorrectly categorized
then Outputs may be materially incorrect. Users assume sole responsibility for submitted data quality.
7. SENSOR AND DEVICE FAILURE DISCLAIMER
Even with installed monitoring hardware, limitations remain. Possible failures include:

10. LIABILITY CAP
IF LIABILITY CANNOT BE FULLY EXCLUDED:
Seismocon’s aggregate liability shall not exceed the greater of:

the fees actually paid for the specific Output during the preceding twelve (12) months.
11. NO THIRD-PARTY RELIANCE
Outputs are solely for the authorized recipient. No third party may rely upon Outputs without explicit written authorization.

12. INDEMNIFICATION

13. ENTERPRISE AGREEMENTS CONTROL
If a separately executed enterprise agreement exists, that agreement governs over these Report Terms to the extent of direct conflict.
14. ARBITRATION / VENUE
Binding AAA commercial arbitration.

This Privacy Policy describes how Seismocon Systems, Inc. ('Seismocon,' 'we,' 'our,' or 'us') collects, uses, discloses, stores, and protects information in connection with our websites, mobile applications, cloud software platforms, structural monitoring systems, telemetry services, customer support operations, and related products and services.

2. SCOPE OF THIS POLICY

4. DEVICE PERMISSIONS
Depending on enabled features, Seismocon may request access to location services, Bluetooth, camera, photo/media storage, and push notifications. Permissions may be managed through device settings, though disabling them may limit functionality.
5. HOW WE USE INFORMATION
To provide and maintain services; authenticate users; deliver structural monitoring and alerts; support incident response; maintain historical baselines; improve reliability and security; troubleshoot; comply with law; enforce agreements; protect users, infrastructure, and company operations.
6. LEGAL BASES FOR PROCESSING
Where applicable, processing is based on contract performance, legitimate interests, consent, legal obligations, and protection of vital interests or public safety.
7. COMMUNICATIONS
We may send operational notices, incident alerts, push notifications, SMS messages, password resets, security notices, service announcements, and support communications.
8. THIRD-PARTY SERVICE PROVIDERS
Service providers may include AWS, Firebase, Google Analytics, Google Maps, Auth0, Amazon Cognito, Twilio, hosting providers, analytics vendors, security vendors, customer support vendors, and contractors operating under appropriate contractual obligations.
9. DISCLOSURE OF INFORMATION
We may disclose information to service providers, enterprise customers as required for contracted services, legal authorities where required, auditors, advisors, acquirers in corporate transactions, or others with authorization.
10. NO SALE OF PERSONAL INFORMATION
Seismocon does not sell personal information for third-party advertising purposes and does not operate third-party advertising networks within its services.
11. ENTERPRISE AND MONITORING DATA
Operational monitoring data associated with customer-owned assets may be processed to provide contracted services. Ownership, access, retention, and deletion rights may also be governed by enterprise agreements.
12. DATA RETENTION

User account data is retained until account deletion unless longer retention is legally required.

Monitoring and telemetry data may be retained for as long as required to provide contracted monitoring services, maintain historical structural baselines, comply with legal obligations, resolve disputes, and until deletion is requested by the customer or contract termination terms require deletion.
13. DATA SECURITY
We implement reasonable administrative, technical, and organizational safeguards, including authentication controls, access restrictions, encryption in transit where appropriate, logging, monitoring, vendor due diligence, and incident management practices. No system can be guaranteed completely secure.
14. INTERNATIONAL DATA TRANSFERS
Information may be processed in the United States and other jurisdictions where Seismocon or its providers operate, subject to applicable safeguards where required.
15. YOUR PRIVACY RIGHTS
Depending on applicable law, individuals may have rights to access, correct, delete, restrict, object, request portability, or withdraw consent. Requests may be submitted to legal@seismocon.com.
16. CALIFORNIA PRIVACY DISCLOSURES
California residents may have rights under applicable California privacy law, including rights to know, correct, delete, and limit certain uses of personal information, subject to legal exceptions.
17. GDPR-RELATED DISCLOSURES
For individuals in applicable jurisdictions, Seismocon acts as controller or processor depending on context and contractual relationships. Complaints may be directed to applicable supervisory authorities where permitted.
18. CHILDREN'S PRIVACY
Services are not directed to children under 13, and Seismocon does not knowingly collect personal information from children under 13.
19. COOKIES AND TRACKING
Web services may use cookies and similar technologies for authentication, security, analytics, session continuity, and performance monitoring. Users may manage certain settings through browser controls.
20. AUTOMATED PROCESSING
Analytics and monitoring systems may use automated processing to support alerting, diagnostics, and service functionality. These processes are intended for operational monitoring rather than individualized consumer profiling for advertising.
21. THIRD-PARTY LINKS AND SERVICES
Third-party platforms and integrations operate under their own privacy terms. Seismocon is not responsible for external privacy practices.
22. CHANGES TO THIS POLICY
We may update this Privacy Policy periodically. Material changes may be communicated through services or updated publication dates.

Seismocon grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for lawful purposes and in accordance with these Terms.

interfere with the operation, availability, or security of the Services;

interfere with telemetry systems, monitoring integrity, or alert workflows.
4. Risk Assessment and Monitoring Disclaimer
Seismocon Services may provide structural monitoring information, telemetry analysis, risk assessments, alert notifications, environmental monitoring data, or related analytical outputs.
These Services are informational and operational support tools only.
Unless expressly stated in a separate written agreement:

Seismocon is not providing licensed engineering, architectural, seismic certification, emergency response, insurance underwriting, or legal advisory services;
-
Seismocon does not guarantee structural integrity, occupant safety, habitability, code compliance, or fitness for occupancy;
-
monitoring outputs do not replace physical inspections, licensed engineering review, emergency response procedures, or regulatory determinations.
Customers remain solely responsible for operational decisions involving buildings, facilities, infrastructure, public safety, evacuation decisions, maintenance, repairs, or occupancy.
5. No Emergency Services Guarantee
Seismocon Services are not emergency response systems.
Seismocon does not guarantee:

continuous service availability;
-
uninterrupted telemetry delivery;
-
immediate alert transmission;
-
SMS/email/push notification delivery timing;
-
telecommunications network availability;
-
third-party infrastructure uptime.
Users must not rely solely on Seismocon Services for life-safety emergency response.
Always maintain independent emergency procedures and response protocols.
6. Intellectual Property
All content, technology, software, systems, algorithms, designs, interfaces, dashboards, reports, graphics, text, documentation, source code, object code, telemetry models, trademarks, logos, patents, and related materials are owned by Seismocon or its licensors and are protected by applicable intellectual property laws.
No ownership rights are transferred.
Except as expressly authorized, you may not:

copy;

modify;
-
create derivative works;

distribute;
-
publish;
-
publicly display;
-
license;
-
sell;
-
commercially exploit;
-
reproduce system outputs beyond authorized use.
7. Data Scraping and Automated Access Prohibited
You may not use automated tools to extract or collect information from the Services.
Prohibited activities include:

crawling;

spidering;
-
automated querying;
-
API misuse;
-
data harvesting;
-
telemetry extraction outside authorized access.
Unauthorized automated access may result in legal action.
8. User Accounts and Credentials
Users are responsible for:

controlling access to accounts;

ensuring authorized use;

promptly notifying Seismocon of suspected unauthorized access.
Seismocon may suspend or disable accounts to protect security or enforce compliance.
9. Third-Party Services
Services may rely on third-party providers including hosting, mapping, communications, analytics, authentication, cloud infrastructure, or messaging vendors.
Seismocon is not responsible for third-party outages, delays, failures, or independent policies.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEISMOCON DISCLAIMS ALL WARRANTIES, INCLUDING:

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEISMOCON SHALL NOT BE LIABLE FOR:

indirect damages;

incidental damages;

consequential damages;

punitive damages;

loss of business;
-
lost revenue;
-
data loss;
-
operational interruption;

occupancy decisions;

engineering reliance;

emergency response outcomes;

property damage;

If liability cannot be excluded, Seismocon’s aggregate liability shall not exceed the amount paid by the customer to Seismocon during the prior twelve (12) months for the applicable Services.
12. Indemnification
You agree to defend, indemnify, and hold harmless Seismocon, its officers, directors, employees, contractors, affiliates, and licensors from claims arising from:

misuse of the Services;

violation of these Terms;
-
unlawful conduct;
-
unauthorized access;
-
third-party claims caused by your actions.
13. Suspension and Termination
Seismocon may suspend, restrict, or terminate access at any time, with or without notice, for:

security concerns;

operational protection;
-
legal compliance;
-
suspected misuse;
-
breach of these Terms.
14. Modifications
Seismocon may modify these Terms at any time.
Updated Terms become effective upon publication unless otherwise stated.
Continued use constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
16. Dispute Resolution
Any dispute arising from these Terms shall be resolved exclusively through binding arbitration under the Federal Arbitration Act and AAA Commercial Arbitration Rules.
Venue shall be Napa County, California, unless otherwise required by law.
Either party may seek injunctive relief for intellectual property misuse or unauthorized access.

Intellectual Property Protection
All intellectual property rights in and relating to the Seismocon Systems, Inc. websites, mobile applications, cloud platforms, structural monitoring systems, telemetry services, software, algorithms, dashboards, reports, documentation, interfaces, APIs, content, designs, trademarks, service marks, logos, patents, copyrights, trade secrets, proprietary methodologies, and related materials (collectively, the “Intellectual Property”) are owned by or licensed to Seismocon Systems, Inc. (“Seismocon,” “we,” “our,” or “us”) and are protected by applicable United States and international intellectual property laws.
This protection includes, without limitation:

the Seismocon name;

Seismocon trademarks, logos, and brand identifiers;

patented and patent-pending technologies;

proprietary structural monitoring methodologies;

software code, applications, and cloud systems;

telemetry processing logic;
-
AI and analytical models;

dashboards, interfaces, and user experiences;

reports, documentation, graphics, and visual content;

trade secrets and confidential business information.
All rights not expressly granted are reserved.
Trademark Usage
All Seismocon trademarks, service marks, logos, trade dress, and brand identifiers are the exclusive property of Seismocon Systems, Inc. or its licensors.
You may not use, reproduce, display, copy, distribute, modify, register, or otherwise exploit any Seismocon trademark or brand asset without prior written authorization.
Unauthorized use includes, without limitation:

implying endorsement, sponsorship, or affiliation;

creating confusingly similar marks;
-
using Seismocon branding in marketing materials;
-
incorporating Seismocon marks into domains, social accounts, apps, or products;
-
misrepresenting business relationships.
Unauthorized use may violate trademark laws and other applicable legal protections.
Patent Protection
Seismocon technologies, systems, methods, products, and processes may be protected by issued patents, pending patent applications, and other proprietary rights in the United States and internationally.
No license, authorization, or right to practice Seismocon patented or patent-pending technology is granted except through an express written agreement.
Unauthorized use, reproduction, implementation, commercialization, or exploitation of patented Seismocon technology may constitute infringement.
Copyright Protection
All content made available through Seismocon websites, applications, reports, dashboards, risk assessment outputs, software interfaces, documentation, presentations, images, videos, text, graphics, and related materials are protected by copyright and other applicable laws.
Except where expressly permitted in writing, you may not:

reproduce;

copy;

publish;

distribute;
-
transmit;

display;
-
modify;
-
create derivative works;
-
commercially exploit;
-
repurpose content.
Limited internal viewing or authorized contractual use does not transfer ownership rights.
Software and Technology Restrictions

replicate system architecture;

extract telemetry logic;

bypass access restrictions;

interfere with APIs;

create competing derivative implementations.
This restriction applies except where prohibited by applicable law.
No Grant of Rights
Nothing in these Terms, Seismocon Services, documentation, reports, APIs, websites, or communications shall be interpreted as granting any license, ownership interest, assignment, or right to use Seismocon Intellectual Property except where expressly provided in a separate written agreement.
Any permitted access is limited, revocable, non-exclusive, and non-transferable.
Confidential and Proprietary Information
Certain Seismocon technologies, methodologies, architectures, analytical processes, engineering designs, and operational systems may constitute confidential or proprietary information, whether or not publicly disclosed.
Unauthorized disclosure, use, duplication, or exploitation of such information is prohibited.
Feedback
If you voluntarily submit suggestions, ideas, product improvements, feedback, technical comments, or recommendations to Seismocon, you grant Seismocon a perpetual, worldwide, royalty-free right to use, modify, incorporate, and commercialize such feedback without obligation or compensation unless otherwise agreed in writing.
Enforcement
Seismocon reserves all legal and equitable rights to protect and enforce its intellectual property and proprietary interests, including seeking injunctive relief, damages, contractual remedies, and other available legal protections where appropriate.
